Avera Marshall Regional Medical Center’s governing board announced a plan to repeal existing medical staff bylaws and replace them with revised ones. The Medical Staff, an unincorporated association of physicians with privileges at the hospital, objected. The original bylaws, enacted in 1995, required physicians to agree to be bound by them to serve on the staff. These bylaws outlined purposes including self-governance and a process for amendment requiring a two-thirds affirmative vote of eligible members for changes. The hospital board proceeded with the changes without a Medical Staff vote, asserting the staff lacked capacity to sue and the bylaws were not an enforceable contract.
