Plaintiffs Meso Scale Diagnostics, LLC and Meso Scale Technologies, LLC (collectively “Meso”) held certain rights to electrochemiluminescent (ECL) technology. In a complex 2003 transaction, the primary ECL intellectual property was vested in a new entity, BioVeris Corp. As part of this transaction, Meso signed a “Global Consent” agreement which contained a clause prohibiting the assignment of rights “by operation of law or otherwise” without Meso’s prior written consent. In 2007, Defendant Roche Diagnostics GmbH (“Roche”) sought to acquire BioVeris’s valuable IP portfolio. To do so, Roche structured the acquisition as a reverse triangular merger: Roche created a wholly-owned acquisition subsidiary that merged with and into BioVeris. BioVeris was the surviving legal entity but became a wholly-owned subsidiary of Roche. Roche did not seek Meso’s consent for the transaction. Meso sued, alleging in Count I that the merger constituted a prohibited assignment by operation of law under the Global Consent. In a separate claim (Count II), Meso alleged Roche breached a related license agreement that Meso had “joined in” but was not a formal party to.
