Case Brief Summary & Legal Analysis
tl;dr: A bank failed to record a property plat by a contractual deadline, arguing the requirement was a condition dependent on county approval. The court found the mandatory language (“shall record”) created a binding promise (covenant), making the bank liable for breach of contract.
Legal Significance: This case clarifies the distinction between covenants and conditions, holding that using mandatory language like “shall” can create a binding covenant and allocate the risk of third-party non-performance to the promisor, even when performance depends on that third party’s action.

Case Facts & Court Holding
Key Facts & Case Background
Mind & Motion Utah Investments, LLC (Buyer) entered into a Real Estate Purchase Contract (REPC) with Celtic Bank Corp. (Seller) to purchase property for a condominium development. The REPC contained a provision stating that Celtic Bank “shall record Phase 1” of the development plat by a specified date and “agrees to complete recording.” Recording the plat required approvals from various county government entities. The REPC also granted the Buyer “sole discretion” to extend the recording deadline. In other sections, the contract used explicitly conditional language, stating that the Buyer’s obligation to purchase was “conditioned upon Buyer’s approval” of certain disclosures and inspections. Celtic Bank failed to meet the initial recording deadline. Mind & Motion granted one extension, but the bank failed to meet the extended deadline as well. Mind & Motion then declined to grant a second extension, declared Celtic Bank in breach, and sued for the return of its earnest money and liquidated damages. The district court granted summary judgment for Mind & Motion, finding the recording provision was an unambiguous covenant. Celtic Bank appealed, arguing the provision was a condition precedent because its fulfillment depended on the actions of third-party county officials.
Court Holding & Legal Precedent
Issue: Did the contractual provision requiring the seller to record a property plat by a specific deadline create a binding promise (a covenant), the breach of which gives rise to damages, or was it a condition precedent, the failure of which would excuse both parties from performance?
