Plaintiffs James J. and Kathleen D. Moran (sellers) and defendants Mehmet and Susan Erk (buyers) executed a real estate contract for the Morans’ home at a purchase price of $505,000. The contract included a rider with an “ATTORNEY APPROVAL CONTINGENCY,” stating: “This Contract is contingent upon approval by attorneys for Seller and Purchaser by the third business day following each party’s attorney’s receipt of a copy of the fully executed Contract… If either party’s attorney disapproves this Contract before the end of the Approval Period, it is void…” After signing, the Erks developed misgivings and instructed their attorney to disapprove the contract. The attorney did so within the three-day period. The Morans subsequently sold the house for $385,000 and sued the Erks for breach of contract, alleging the disapproval was exercised in bad faith. The lower courts found for the Morans, holding that a bad faith disapproval waived the contingency. The Erks appealed to the Court of Appeals.
