Dawn Enterprises, Inc. (Dawn), an oilfield trucking company, held a certificate of public convenience and necessity. Dawn contracted with Rainbow Oilfield Trucking, Inc. (Rainbow) to allow Rainbow to operate a trucking business in Hobbs, New Mexico, using Dawn’s certificate. The agreements granted Dawn the right to “full and complete control” over Rainbow’s operations. Dawn was to collect all revenue, deduct a monthly fee and a percentage of gross receipts, and remit the balance to Rainbow. A terminal management agreement specified that Rainbow was an independent contractor, not an agent, and could not incur debt for Dawn “other than in the ordinary course of business.” During its operations, Rainbow incurred a debt of approximately $25,000 to Morris Oil Company, Inc. (Morris) for diesel fuel. Morris was unaware of the relationship between Dawn and Rainbow and believed it was dealing solely with Rainbow. When Rainbow ceased operations and declared bankruptcy, Morris sought payment from Dawn. Dawn acknowledged the debt and indicated it would be paid from a fund of Rainbow’s revenues it was holding, but ultimately failed to pay. Morris sued Dawn, arguing Rainbow was its agent.
