While there, she was sexually assaulted in a restroom. The Inn was owned and operated by Penn Stroud Hotel, Inc. under a marketing agreement with Best Western International, Inc. The agreement allowed Penn Stroud to use the “Best Western” name and reservation system in exchange for an annual fee and adherence to quality standards enforced through biannual inspections. Best Western could terminate the agreement if standards were not met. However, Penn Stroud retained full control over the Inn’s day-to-day operations, including hiring, firing, supervising employees, setting prices, and implementing security measures.
