Case Brief Summary & Legal Analysis

General Brief

tl;dr: A hotel franchisor (Best Western) was not held vicariously liable for a sexual assault at a franchisee’s hotel because it did not control the hotel’s day-to-day operations, and the victim did not rely on the franchisor’s brand for her presence there.

Legal Significance: In a franchise relationship, vicarious liability for a franchisee’s negligence requires the franchisor to control the franchisee’s day-to-day operations, not merely set brand standards. Quality control inspections and the power to terminate the agreement are insufficient to establish such control.

Case Facts & Court Holding

Key Facts & Case Background

Plaintiff Christine Myszkowski was hired by a third-party campus ministry group to work as a disc jockey at an event held at the Best Western Pocono Inn. While there, she was sexually assaulted in a restroom. The Inn was owned and operated by Penn Stroud Hotel, Inc. under a marketing agreement with Best Western International, Inc. The agreement allowed Penn Stroud to use the “Best Western” name and reservation system in exchange for an annual fee and adherence to quality standards enforced through biannual inspections. Best Western could terminate the agreement if standards were not met. However, Penn Stroud retained full control over the Inn’s day-to-day operations, including hiring, firing, supervising employees, setting prices, and implementing security measures. The agreement expressly disclaimed an agency relationship, identifying Penn Stroud as an independent contractor. Myszkowski sued Best Western, arguing it was vicariously liable for the Inn’s alleged negligence in failing to provide adequate security. The trial court granted summary judgment for Best Western.
