Navajo Academy (Academy) was invited by Navajo Mission School (Mission School) to operate on its campus. The initial understanding was that the Academy could occupy the property rent-free for an indefinite term. To secure federal BIA funding for major campus renovations, the Mission School’s board passed a resolution promising the Academy a long-term lease of at least 25 years. Relying on this promise, the Academy obtained BIA funds and made substantial, costly improvements to the campus, which the Mission School and the property owner (Women’s Division) accepted. The long-term lease never materialized, in part due to the owner’s policy against leases longer than four years. The parties operated under a series of short-term, nominal-rent subleases, which the trial court found did not supersede the long-term understanding. When the relationship between the schools deteriorated, the Mission School demanded substantial rent and initiated eviction proceedings. The Academy sued, seeking a declaration of a “constructive” long-term lease. The trial court found that the Academy had no alternative facilities and that immediate eviction would destroy its educational program.
