Neponsit Realty Company developed a residential tract and sold lots with a covenant in the deeds. The covenant required subsequent landowners to pay an annual assessment to the grantor or its assigns, including a future property owners’ association (POA), for maintaining common areas like roads, parks, and sewers. The covenant explicitly stated it was a real covenant that would “run with the land.” The defendant, Emigrant Industrial Savings Bank, later acquired a lot in the tract through a judicial sale. The deed to the defendant, and all preceding deeds in its chain of title, stated the conveyance was subject to the covenants of record. The Neponsit Property Owners’ Association (the plaintiff), which was formed to collect these assessments and maintain the common areas, sued the defendant to foreclose a lien for unpaid assessments.
