George Kiniyalocts (majority member) and Michael Earwood (minority member) formed Kinwood Capital Group, LLC, a member-managed LLC. Kinwood’s operating agreement required a 75% member vote to approve the sale of substantially all company assets. Without Kiniyalocts’s knowledge or consent, Earwood secretly formed Northlake Development, LLC, with himself as the sole owner and managing member. Earwood then executed a warranty deed, purportedly as Kinwood’s “Managing Member,” conveying Kinwood’s primary real estate asset to Northlake for no consideration. Subsequently, Northlake obtained a loan from BankPlus, securing it with a deed of trust on the property. Earwood used the loan proceeds for personal benefit. When Northlake filed for bankruptcy, Kinwood discovered the unauthorized transfer and challenged the deed’s validity. The bankruptcy and district courts found the deed void. BankPlus appealed, arguing the deed was merely voidable and that its interest as a bona fide encumbrancer was protected. The Fifth Circuit certified the question to the Mississippi Supreme Court.
