Ashford Laboratories contracted to sell goods to Mabson, a Nigerian importer. To facilitate payment, Mabson had Savannah Bank of Nigeria (Defendant), a government-owned bank, issue an irrevocable letter of credit (L/C) in favor of Ashford. The L/C was payable in U.S. dollars in New York and was subject to the Uniform Customs and Practice for Documentary Credits (UCP). Ashford shipped the goods and presented conforming documents in strict compliance with the L/C’s terms. The Defendant bank approved the documents for payment but failed to pay, claiming the Central Bank of Nigeria had not provided the necessary foreign exchange. Years later, the Defendant argued that Ashford had failed to comply with a new requirement, part of a Nigerian debt refinancing program, to submit a claim form to Chase Manhattan Bank. This requirement was not part of the original L/C. Ashford assigned its right to the L/C’s proceeds to Optopics Laboratories (Plaintiff), which sued for nonpayment. The Defendant had already received payment for the L/C from its customer, Mabson.
