Paramedics Electromedicina Comercial, Ltda. (“Tecnimed”), a Brazilian distributor, and GE Medical Systems Information Technologies, Inc. (“GEMS-IT”), a U.S. manufacturer, entered into agreements with broad arbitration clauses. After GEMS-IT initiated arbitration in April 2002 due to disputes, Tecnimed commenced a lawsuit in Porto Alegre, Brazil, against GEMS-IT and an affiliate, GE Brasil. Tecnimed also petitioned a New York state court for a permanent stay of arbitration. GEMS-IT removed this petition to federal court and counterclaimed for an order to compel arbitration and an anti-suit injunction to halt the Porto Alegre action. The district court granted GEMS-IT’s motion, compelling arbitration and ordering Tecnimed to “immediately take all steps necessary to cause dismissal of the” Porto Alegre suit. Tecnimed instead requested the Brazilian court to put the case on a “suspense” calendar. Unsatisfied, the district court ordered Tecnimed to sign a Joint Petition to Dismiss, which Tecnimed failed to do. Consequently, the district court held Tecnimed and its president in civil contempt, imposing daily monetary sanctions payable to GEMS-IT.
