Thelma Phillips retained attorney David Carson and his law firm to probate her late husband’s estate. The firm’s fee was intended to cover all of Phillips’s legal needs during the probate. While this attorney-client relationship was ongoing, Carson solicited and received personal loans from Phillips totaling over $270,000. Carson assured her the loans would be fully secured. He initially provided a second mortgage on one property, but later convinced her to release it in exchange for a mortgage on a different property, which he claimed would be better security. Carson prepared the new mortgage but negligently failed to record it. He never advised Phillips to seek independent counsel regarding these transactions, which involved the use of firm stationery and personnel. When Carson filed for bankruptcy, the unrecorded mortgage was deemed a preferential transfer, leaving Phillips’s claim unsecured and worthless. Phillips sued Carson for professional negligence and his law firm and partners for vicarious liability. The trial court granted summary judgment against Carson but in favor of the partnership.
