Pier 1 Cruise Experts (“Pier 1”) contracted with Revelex Corporation (“Revelex”) for custom booking software. The parties executed a Service Agreement and a separate Scope of Work (SOW). The Service Agreement contained an exculpatory clause, § 12.1, stating Revelex would not be liable for “any … damages regardless of kind or type (whether in contract, tort (including negligence), or otherwise).” It also included a waiver of “any and all claims … arising out of this agreement.” After Revelex failed to deliver functional software, Pier 1 sued for breach of contract and negligent misrepresentation. The district court found the exculpatory clause rendered the Service Agreement illusory but held the SOW was a separate, enforceable contract. A jury found Revelex breached the SOW.
