Pinnacle Data Services, Inc. (PDS) owned 50% of MJCM, L.L.C., while Joseph Gillen and Charles Baldridge each owned 25%. The company was initially member-managed. The company’s governance was dictated by its Articles of Organization and its Regulations. The Regulations required an affirmative vote of at least 66 2/3% of the ownership interest to amend the governing documents, which would have required PDS’s consent. However, the Articles of Organization permitted amendment by an affirmative vote of two-thirds of the members. The Regulations contained a clause explicitly stating that in the event of a conflict with the Articles, the Articles would control. Citing the authority in the Articles, Gillen and Baldridge, constituting two-thirds of the members, voted to amend the Articles. They converted MJCM from a member-managed to a manager-managed company, named Gillen as the sole manager, and terminated the principals of PDS from their roles. Gillen then began paying himself and Baldridge salaries and bonuses, contrary to the original agreement of only taking profit distributions. PDS sued for, among other things, declaratory relief, breach of contract, and member oppression, arguing the Regulations should control.
