Case Brief Summary & Legal Analysis

General Brief

tl;dr: A U.S. copyright owner sold its products abroad at a discount. The Supreme Court held that the “first sale” doctrine allows a third party to buy those products and import them for resale in the U.S. without infringing the copyright.

Legal Significance: The case confirms that the first sale doctrine limits a copyright holder’s ability to control downstream distribution of U.S.-made goods sold abroad, thereby sanctioning certain forms of “gray market” or “parallel” importation under U.S. copyright law.

Case Facts & Court Holding

Key Facts & Case Background

L’anza Research International, Inc. (L’anza), a U.S. company, manufactures hair care products and holds copyrights on the labels affixed to them. L’anza sells these products in the United States through an exclusive distribution network at a premium price. Concurrently, L’anza sells the identical, U.S.-manufactured products to foreign distributors at prices 35-40% lower than its domestic prices. Quality King Distributors, Inc. (Quality King) purchased L’anza products that had been sold to a foreign distributor in Malta. Quality King then imported these authentic products, which were “lawfully made” in the U.S., back into the country without L’anza’s authorization. Quality King sold the imported products to unauthorized retailers at a discount, undercutting L’anza’s domestic pricing structure. L’anza sued Quality King for copyright infringement, alleging that the unauthorized importation violated its exclusive rights under § 602(a) of the Copyright Act. Quality King raised the “first sale” doctrine, codified in § 109(a), as an affirmative defense, arguing that L’anza’s initial sale of the products exhausted its distribution rights.

Court Holding & Legal Precedent

Issue: Does the “first sale” doctrine, codified at 17 U.S.C. § 109(a), limit a copyright owner’s right under 17 U.S.C. § 602(a) to prohibit the unauthorized importation of copyrighted works that were lawfully made in the United States and subsequently sold abroad?
