Case Brief Summary & Legal Analysis

General Brief
3 min read

tl;dr: A court dismissed a complaint with prejudice after plaintiff’s counsel, having been explicitly instructed on how to cure a jurisdictional defect, refiled the same deficient pleading that failed to properly allege corporate citizenship for diversity jurisdiction.

Legal Significance: This case serves as a stark reminder that to establish diversity jurisdiction over a corporation, a plaintiff must affirmatively plead both its state of incorporation and its principal place of business, not just one or the other.

Case Facts & Court Holding

Key Facts & Case Background

Plaintiff filed an asbestos-related lawsuit, incorporating a master complaint. The district court initially dismissed the complaint for failing to establish complete diversity of citizenship, as it did not properly allege the citizenship of two corporate defendants, C.E. Refractories and Bevco Industries. For C.E. Refractories, the complaint alleged a state of incorporation but only a “registered office” in another state, not its principal place of business. For Bevco Industries, the complaint vaguely alleged it was “duly organized to do business” in a state without specifying its state of incorporation or principal place of business. The court granted the plaintiff ten days to file an amended complaint to cure these jurisdictional defects. Plaintiff’s counsel then filed an “amended complaint” that simply reiterated the same jurisdictionally deficient allegations that the court had already identified as insufficient. The amended complaint did not add the required information regarding the defendants’ state of incorporation and principal place of business.
