The Farmer’s Cooperative of Arkansas and Oklahoma, Inc. (Co-Op), a RICO enterprise, was engaged in a fraudulent scheme involving the sale of demand notes. Respondent Ernst & Young (as Arthur Young) was hired to perform financial audits for the Co-Op. The Co-Op’s solvency depended on the valuation of a gasohol plant it had acquired from its general manager under dubious circumstances. Arthur Young, in its audits, chose to value the plant at its inflated construction cost rather than its much lower fair market value. This accounting decision, which Arthur Young did not fully disclose to the Co-Op’s board or members, concealed the Co-Op’s insolvency. The firm presented condensed financial statements at annual meetings that omitted critical warnings from the full audit reports. After the Co-Op filed for bankruptcy, a class of noteholders (Petitioners) sued Arthur Young, alleging it violated RICO, 18 U.S.C. § 1962(c), by participating in the conduct of the Co-Op’s fraudulent affairs. The lower courts granted summary judgment for Arthur Young.
