Southern Railway Company faced a damaging Interstate Commerce Commission (ICC) order that would significantly increase its grain shipment rates. A Southern vice president hired attorney Robert B. Troutman, Jr., who was known to be a personal friend and political ally of President John F. Kennedy. The objective was to convince the President and the Department of Justice (DOJ) to oppose the ICC’s position in a pending lawsuit. Troutman met with the President and other high-level officials, presenting materials on the merits of Southern’s case. Subsequently, the DOJ intervened in the lawsuit on Southern’s behalf, and the ICC order was ultimately struck down. When a separate business arrangement intended as compensation failed, Troutman demanded cash payment for his services. Southern refused, arguing that the agreement was an unenforceable contract to exert improper political influence and was therefore void as against public policy. A jury found for Troutman, and Southern appealed the denial of its motion for judgment notwithstanding the verdict.
