Robert Lawrence Company, Inc. (“Lawrence”), a Massachusetts corporation, purchased woolen fabric from Devonshire Fabrics, Inc. (“Devonshire”), a New York corporation. Both the purchase order and the sales confirmation contained an identical, broad arbitration clause stating that “Any complaint, controversy, or question which may arise with respect to this contract…shall be referred to arbitration.” After paying for the goods, Lawrence discovered alleged latent defects and sued Devonshire in federal court, asserting diversity jurisdiction. Lawrence sought damages for fraudulent misrepresentations, claiming it was induced to enter the contract by Devonshire’s false claims about the fabric’s quality. Lawrence argued that because the entire contract was voidable due to fraud, the arbitration clause contained within it was unenforceable. Devonshire moved to stay the court proceedings pending arbitration pursuant to § 3 of the Federal Arbitration Act (FAA). The district court denied the stay, reasoning that a court must first determine the validity of the underlying contract before an arbitration clause within it can be enforced.
