Plaintiff Rohm & Haas Co. (R&H) developed a proprietary manufacturing process for a superior latex paint vehicle, which gave it a significant advantage in the market. R&H took extensive security measures to maintain the Process’s secrecy. Defendant Adco Chemical Co. (Adco) attempted for two years to replicate the R&H product but failed. Adco then hired Joseph Harvey, a former R&H lab technician who had worked directly with the Process and had signed a confidentiality agreement. Immediately upon his hiring, Harvey wrote down the entire R&H Process from memory and provided it to Adco. Harvey admitted in a deposition that the process he provided was the one he learned at R&H. Adco, despite knowing Harvey’s background and their own previous failures to develop a similar product, never inquired as to the origin of the ‘Harvey process.’ Adco quickly implemented the Process, began selling products that duplicated R&H’s, and set aside its own prior research. R&H sued for trade secret misappropriation.
