The Securities and Exchange Commission (SEC) was overseeing a corporate reorganization plan for the Federal Water Service Corporation. During this period, corporate officers and directors purchased the company’s preferred stock on the open market. The SEC approved the reorganization plan on the condition that these insiders surrender their purchased stock at cost plus accumulated dividends, preventing them from profiting. In a prior decision (Chenery I), the Supreme Court invalidated this order because the SEC had based its reasoning on general principles of equity that the Court found inapplicable. On remand, the SEC reached the same result but articulated a new rationale.
