Lester Morgan Wells’s will devised his residuary estate in equal shares to Drake University and Parsons College to be held in permanent charitable trusts for student scholarships. The will contained a specific provision stating, “If either or both of said institutions should fail to faithfully carry out the provisions… then said trust or trusts shall fail… and the principal thereof I will, devise and bequeath to my legal heirs at law.” After the will was executed but before the testator’s death, Parsons College declared bankruptcy and ceased to operate as an educational institution, making it impossible for it to administer the trust. The executor of Wells’s estate filed a declaratory judgment action to determine the proper disposition of the funds intended for Parsons College. Drake University, the beneficiary of the other half of the residuary estate, argued that the funds for the failed Parsons trust should be given to Drake under the doctrine of cy pres, rather than reverting to the testator’s heirs.
