Defendants Gillian and Uwe Siemon-Netto were investors, or “Names,” in the Society of Lloyd’s insurance market. As a condition of membership, they signed a “General Undertaking” which contained two key provisions: (1) an agreement to comply with all Lloyd’s Acts and any byelaws made thereunder, and (2) a forum selection clause granting exclusive jurisdiction to English courts for any disputes arising from their membership. In the early 1990s, facing catastrophic losses, Lloyd’s implemented a “Reconstruction and Renewal” (R&R) plan, creating a new entity, Equitas, to reinsure the Names’ liabilities. The plan was funded by premiums assessed against all Names. The Siemon-Nettos refused to pay. Pursuant to its byelaws, Lloyd’s appointed a substitute agent who accepted the Equitas reinsurance contract on the Siemon-Nettos’ behalf. Lloyd’s then sued them in England, as required by the forum selection clause, and obtained money judgments for the unpaid premiums. Lloyd’s subsequently filed an action in the U.S. District Court for the District of Columbia to enforce the English judgments under the D.C. Uniform Foreign Money Judgments Recognition Act. The Siemon-Nettos asserted affirmative defenses, primarily that the judgment was repugnant to public policy, and filed counterclaims for fraud.
