Step-Saver Data Systems, Inc. (“Step-Saver”), a value-added retailer, purchased multiple copies of a software program called Multilink Advanced from its producer, The Software Link, Inc. (“TSL”). The parties negotiated the purchases over the telephone, agreeing on price, quantity, and shipping terms. Step-Saver would then send a purchase order confirming these terms, and TSL would ship the software with a corresponding invoice. Each software package was sealed with a prominent “box-top license” that disclaimed all express and implied warranties, limited remedies to replacement of a defective disk, and stated that opening the package constituted acceptance of these terms. Step-Saver never expressly agreed to the license. In fact, on two occasions, TSL had asked Step-Saver to sign formal agreements containing similar warranty disclaimers, which Step-Saver refused to do; TSL continued to sell the software to Step-Saver regardless. When the software caused significant problems for Step-Saver’s customers, Step-Saver sued TSL for breach of warranty based on TSL’s prior oral and written representations about the product’s capabilities. The district court held that the box-top license governed the agreement and granted a directed verdict for TSL.
