Max Feinberg’s will poured his assets into a trust, with his wife, Erla, as the lifetime beneficiary. The trust contained a “beneficiary restriction clause” stating that upon Erla’s death, any descendant who married outside the Jewish faith (or whose non-Jewish spouse did not convert within one year) would be “deemed deceased” for purposes of distribution. Max granted Erla a limited power of appointment over the trust assets, exercisable in favor of his descendants. Before her death, Erla exercised this power, directing that upon her death, a fixed sum of $250,000 be distributed to each of her then-living grandchildren who met the conditions of Max’s beneficiary restriction clause. At the time of Erla’s death in 2003, only one of five grandchildren qualified under the clause. Michele, a disqualified grandchild, challenged the provision as void against public policy because it constituted an impermissible restraint on marriage.
