Darlington Manufacturing Co. operated a single textile mill. A majority of its stock was controlled by the Milliken family through Deering Milliken, an entity that operated 27 mills in total. After the Textile Workers Union won a representation election at the Darlington mill, the company’s president, Roger Milliken, who harbored significant anti-union animus, orchestrated a vote by the board of directors to liquidate the corporation. The plant was permanently closed, and its assets were sold piecemeal. The union filed an unfair labor practice charge with the National Labor Relations Board (NLRB), alleging the closing violated §§ 8(a)(1) and 8(a)(3) of the National Labor Relations Act (NLRA). The NLRB found for the union, concluding that Darlington was part of a single integrated enterprise (Deering Milliken) and that the closing was an unlawful discriminatory act. The Court of Appeals reversed, holding that an employer has an absolute right to close its business for any reason.
