Plaintiffs (sellers) and defendant (buyer) entered into a single contract for the sale of two distinct types of property: dressed hogs and live hogs. The dressed hogs were to be delivered immediately, while the live hogs, then in transit from Ohio, were to be delivered upon their arrival. The contract specified different prices per pound for each type of hog. No explicit credit terms were agreed upon, leading to the presumption that payment was due upon delivery for each respective parcel. Plaintiffs delivered the dressed hogs as agreed, but the defendant refused to pay for them. Subsequently, when the live hogs arrived, the plaintiffs failed to deliver them to the defendant. Plaintiffs initiated an action to recover the contract price for the dressed hogs delivered. The defendant contended that the contract was entire and indivisible, and thus the plaintiffs’ failure to deliver the live hogs constituted a breach of a condition precedent, barring any recovery for the dressed hogs. The referee found for the plaintiffs, but allowed the defendant to recoup damages sustained from the non-delivery of the live hogs.
