Case Brief Summary & Legal Analysis

General Brief

tl;dr: A Canadian company challenged a Pennsylvania “Buy American” law that applied to local government purchases. The court upheld the law, holding that under the market participant doctrine, the state can dictate purchasing terms for its political subdivisions without violating the dormant Commerce Clause.

Legal Significance: This case extends the market participant doctrine, allowing a state to impose procurement restrictions on its political subdivisions (e.g., municipalities) without being deemed a “market regulator” subject to dormant Commerce Clause constraints, even when foreign commerce is affected.

Case Facts & Court Holding

Key Facts & Case Background

Trojan Technologies, a Canadian corporation, manufactured water disinfection systems containing foreign steel. It sold these systems to Pennsylvania municipal authorities for use in public works projects. Pennsylvania’s Steel Products Procurement Act (“Steel Act”) requires all public agencies, including local government entities, to use American-made steel for such projects. The Act imposes penalties for non-compliance, including repayment of funds and a five-year ban on bidding for public contracts. After the Pennsylvania Attorney General began an inquiry into Trojan’s compliance, Trojan and its distributor sued for a declaratory judgment that the Steel Act was unconstitutional. Trojan argued the Act was preempted by federal trade agreements and statutes, violated the dormant Commerce Clause by burdening foreign commerce, and infringed on the federal government’s exclusive foreign affairs power. The district court upheld the statute, and Trojan appealed to the Third Circuit.
