To acquire an apartment, a person had to purchase shares of ‘stock’ in Riverbay Corporation, the nonprofit entity that owned and operated the cooperative. These shares were not traditional stock; they were non-negotiable, could not be pledged, conferred no proportional voting rights, and offered no possibility of capital appreciation. Upon terminating occupancy, residents were required to sell their shares back to Riverbay at the original purchase price. When monthly carrying charges increased significantly beyond initial estimates, residents sued the developers and related parties, alleging fraud under the Securities Act of 1933 and the Securities Exchange Act of 1934. The residents claimed the ‘stock’ they purchased constituted securities. They argued that an expectation of profit existed through (1) tax deductions for mortgage interest, (2) savings from below-market rent, and (3) rental income from commercial facilities operated by the co-op.
