Deak & Company of California (Deak), a currency exchange dealer, and its vice-president, Willi Beusch, were charged with 377 misdemeanor violations of the Bank Secrecy Act for willfully failing to report the receipt of over $11 million in currency from outside the United States between 1972 and 1976. Beusch was the senior corporate officer responsible for the transactions. Evidence of the unreported shipments was discovered during a search of Deak’s offices. At trial, Deak was convicted, with Beusch’s willful intent imputed to the corporation. Deak argued that Beusch did not act to benefit the corporation and challenged a jury instruction regarding corporate liability for acts contrary to company policy. Separately, the government brought a felony indictment under 31 U.S.C. § 1059, alleging the 377 misdemeanors constituted a “pattern of illegal activity.” The district court dismissed the felony indictment, viewing it as improper bootstrapping. Both parties appealed.
