Usinor, a French steel manufacturer, sold over $1 million worth of specialty steel to Leeco, an Illinois-based company. The sales agreement, governed by the Convention on Contracts for the International Sale of Goods (CISG), contained a clause stating that Usinor would retain title to the goods until full payment was received. Leeco failed to make complete payment. Leeco had previously entered into a credit agreement with LaSalle Bank, granting LaSalle a security interest in its assets.
