Case Brief Summary & Legal Analysis

General Brief
3 min read

tl;dr: A French seller’s attempt to reclaim unpaid-for steel from a U.S. buyer failed. The court ruled that the CISG governs the buyer-seller contract but does not override a third-party creditor’s superior, perfected security interest in the goods under domestic UCC law.

Legal Significance: Establishes that the CISG governs the rights and obligations between a buyer and seller in an international sale but does not preempt domestic law (UCC) concerning the property rights of third-party creditors in the goods.

Case Facts & Court Holding

Key Facts & Case Background

Usinor Industeel, a French company, sold specialty steel to Leeco Steel Products, an Illinois corporation. The sales agreement stipulated that Usinor would retain ownership of the goods until it received full payment. Leeco financed its operations through a line of credit with LaSalle Bank, which held a perfected security interest in Leeco’s present and after-acquired inventory. Leeco failed to pay Usinor for the steel shipments. Usinor filed a motion for replevin, arguing that the UN Convention on Contracts for the International Sale of Goods (CISG) governed the transaction and that its retention of title clause preserved its ownership, giving it the right to recover the steel. LaSalle Bank intervened, asserting that its perfected security interest in the steel as after-acquired inventory had priority over Usinor’s claim. Usinor had not filed a financing statement under the Uniform Commercial Code (UCC) to perfect its interest. The dispute centered on whether Usinor’s rights under the CISG trumped LaSalle’s rights under the UCC.
