In 1991, The Continental Insurance Company offered a Voluntary Special Retirement Program (VSRP) to certain employees, which included a Health Care Allowance (HCA) described orally and in some written materials as a “lifetime benefit.” Plaintiffs accepted this early retirement package. In 1995, CNA Financial Corporation (CNA) acquired Continental. In 1998, CNA notified the early retirees that their HCA benefit would be terminated. The VSRP was accompanied by various explanatory materials. Some general retirement plan documents, which CNA argued were part of the VSRP, contained reservation of rights (ROR) clauses allowing the company to amend or terminate benefits. Specifically, the 1992 Retirement Guide, incorporated by the VSRP Covering Memo, included such a clause. Plaintiffs argued the VSRP was a separate plan, its benefits were vested, and the ROR clauses did not apply. They sued for wrongful denial of benefits under ERISA § 502(a)(1)(B), breach of contract, estoppel, and breach of fiduciary duty. The district court granted summary judgment to CNA on all claims.
