Comisaria General, a branch of the Spanish Ministry of Commerce, voyage-chartered the S.S. Hudson from Victory Transport to ship surplus wheat from the United States to Spain. The charter party agreement, part of a U.S. agricultural aid program, contained a clause requiring arbitration of any disputes in New York. Victory Transport alleged that the vessel sustained hull damage because Comisaria designated unsafe Spanish ports for unloading. When a dispute arose over liability, Comisaria refused to pay or submit to arbitration, asserting it was an arm of the Spanish government and thus entitled to sovereign immunity. Victory Transport petitioned the U.S. District Court for the Southern District of New York to compel arbitration pursuant to the U.S. Arbitration Act.
