Hightower Productions, Ltd. (Hightower) was formed to promote a world-record flagpole-sitting attempt. The principals hired the law firm of Wartzman, Rombro, Rudd and Omansky, P.A. (Wartzman) for the specific purpose of creating a corporation that could raise $250,000 by selling stock to the public. Wartzman prepared and filed articles of incorporation but failed to structure the corporation properly to sell the required amount of stock and failed to ensure compliance with Maryland securities laws, such as preparing an offering memorandum. In reliance on the belief that they were properly incorporated to raise capital, Hightower invested significant funds, hired a performer, constructed a mobile perch, and began promotional activities. They successfully raised $43,000 through initial stock sales. When Hightower needed more funds, Wartzman informed them that no further stock could be legally sold due to the improper corporate structure and securities law violations. Correcting the errors would be costly and time-consuming. Lacking the ability to raise further capital, Hightower was forced to abandon the project and sued Wartzman for breach of contract and negligence, seeking to recover its expenditures.
