Property owners (appellees) sued Western Rock Company, its president G. L. Stroud, and director L. C. Fuller (appellants) for property damages resulting from negligent blasting operations conducted near Jacksboro, Texas. Fuller, who through a family corporation owned 50% of Western Rock and served as a director, appealed the overruling of his plea of privilege to be sued in Dallas County, arguing he was merely a director and not involved in operations. Evidence indicated Fuller was the ‘father-confessor’ of Western Rock, providing all financing and leasing all physical assets to the company, which was described as a ‘shell corporation’ (b582-5). Fuller was in daily contact with Stroud, who supervised the blasting, and was aware of the operations and subsequent damage complaints. Despite learning of a lawsuit, potential lack of insurance, and Western Rock’s deteriorating financial condition, Fuller and Stroud decided to continue blasting activities for several months (b581-14). Stroud testified he would have ceased blasting if Fuller had so instructed.
