NCR Corporation, a Maryland corporation doing substantial business in New York, became the target of a hostile tender offer by AT&T, a New York corporation. To facilitate a proxy contest to replace NCR’s board, AT&T needed access to NCR’s shareholder list. AT&T itself did not meet the six-month holding requirement under New York Business Corporation Law § 1315. Therefore, AT&T entered into an agreement with the Sadlers, New York residents who were qualifying NCR shareholders. The Sadlers demanded that NCR produce its record shareholder list and also compile and produce a list of non-objecting beneficial owners (a “NOBO list”), which was not then in NCR’s possession. NCR refused, arguing that the Sadlers were merely improper agents for the non-qualifying AT&T, that New York law did not require the compilation of a non-existent NOBO list, and that applying New York’s statute to a Maryland corporation violated the Commerce Clause’s internal affairs doctrine.
