General Reinsurance Corp. (“General”) provided reinsurance to Medallion Insurance Co. The reinsurance agreement contained an “insolvency clause,” mandated by Missouri law, requiring that in the event of Medallion’s insolvency, reinsurance would be paid to its receiver “without diminution because of the insolvency.” After Medallion was declared insolvent and placed into receivership, General faced two large claims covered by the policy. For the first claim (P & NE), which had resulted in a $485,000 judgment against the insured, General bypassed Medallion’s Receiver and paid the insured and the claimant $25,000 for a full release of liability. For the second claim (B-K), General argued its liability was limited to the portion of a settlement actually paid by Medallion’s ancillary receiver, not the full settlement amount. The Receiver sued General, arguing that the full reinsurance proceeds for both claims were assets of the insolvent estate and should have been paid directly to him for the benefit of all creditors, irrespective of the direct settlements.
