American Aerial Services, Inc. purchased a “new” Terex T-780 crane from Empire Crane Company, an authorized Terex dealer, for $615,000. Before the sale, Empire’s salesman provided American Aerial with a Terex advertising brochure (the “Data Sheet”) containing technical specifications and load charts. The Data Sheet included a disclaimer in small print on its back page stating, “Terex makes no other warranty, express or implied.” The one-page sales contract between American Aerial and Empire did not contain any warranty provisions. Unbeknownst to the buyer, the crane had been manufactured five months earlier and stored on an outdoor lot. Upon delivery, American Aerial discovered numerous defects, including low coolant, a shredded engine belt, leaks, and a faulty boom. Over several months, the buyer repeatedly notified the seller of these issues. Later inspections revealed defective welds and that the crane could not safely lift its rated capacity. American Aerial sued Terex (manufacturer) and Empire (seller) for breach of contract, breach of warranty, and fraud. The defendants moved for summary judgment, arguing their warranty disclaimers were effective and that the fraud claim was barred by the economic loss doctrine.
