In the early 1900s, the Bethany Beach Improvement Company began developing a quiet, residential seaside community, placing restrictive covenants on lots to maintain its character. These covenants prohibited both the sale of intoxicating liquors and any non-residential construction. Over the next 80 years, the area underwent significant transformation. The town incorporated, expanding its boundaries so that the original restricted lots constituted only 15% of the new town. Widespread, unchallenged commercial development occurred on the restricted lots. In 1952, the town enacted a zoning ordinance designating the area containing the defendant’s restaurant, Holiday House, as a central commercial district (C-1). For at least two decades, the community widely tolerated the practice of “brown-bagging,” where patrons brought their own alcohol into restaurants. After El Di, Inc., the owner of Holiday House, obtained a license to sell alcohol, the Town of Bethany Beach sought a permanent injunction to enforce the original covenant.
