Complainants B. Walter Ernst and Emily Ernst leased a tract of land to Frank Rogers for a one-year term to operate a Go-Cart track. The lease required the lessors’ written consent for any assignment or sublease. Rogers subsequently negotiated to sell the business to the defendant, A. K. Conditt. Conditt desired a longer lease term. Consequently, the Ernsts, Rogers, and Conditt executed an amendment that extended the lease term to two years. This amendment document stated, “Lessor hereby consents to the subletting of the premises to A. K. Conditt,” but also stipulated that Rogers would remain personally liable for all lease covenants. Immediately following, Rogers executed a transfer to Conditt, using the term “sublet,” which conveyed his entire remaining interest in the newly amended lease term. Conditt took possession and paid rent directly to the Ernsts for several months before defaulting. Conditt remained in possession until the lease expired but failed to pay the remaining rent or remove the improvements as required by the lease. The Ernsts sued Conditt directly, arguing the transfer was an assignment creating privity of estate.
