On June 10, 1953, defendants G. T. Green and his wife signed a document proposing that plaintiff, Ever-Tite Roofing Corporation, re-roof their residence. The written offer stipulated that it would become binding “upon written acceptance hereof, by the principal or authorized officer of the Contractor, or upon commencing performance of the work.” As the project was to be financed, Ever-Tite first needed to secure a credit report and obtain approval from a lending institution, a process known to the defendants. After receiving the necessary credit approval, Ever-Tite loaded its trucks with materials and dispatched workmen from its Shreveport office to the defendants’ home on or about June 19, 1953. Upon arrival, Ever-Tite’s employees discovered that another roofing company was already engaged in the work. The defendants informed Ever-Tite’s crew that they had hired the other company two days prior and forbade Ever-Tite from beginning the job. At no point before Ever-Tite’s crew arrived had the defendants attempted to notify Ever-Tite of their intent to withdraw the offer, despite the contract document containing plaintiff’s contact information.
