Case Brief Summary & Legal Analysis
tl;dr: A partner’s estate sought fair market value for his interest, but the court enforced the partnership agreement’s buy-out formula. This formula, based on the deceased partner’s negative “capital account,” resulted in a valuation of zero, upholding the sanctity of the partnership contract over equitable considerations.
Legal Significance: This case establishes that courts will strictly enforce unambiguous partnership buy-out agreements according to their terms, even if the valuation method (e.g., book value) yields a price substantially different from the fair market value of the partnership interest.

Case Facts & Court Holding
Key Facts & Case Background
Century Park, Ltd. was a limited partnership with general partners G & S Investments and Thomas Nordale. Nordale developed a cocaine addiction, leading to erratic and destructive behavior that prejudiced the partnership’s business. He sexually solicited a tenant, refused to pay rent for his apartment in the complex, and made irrational business demands. G & S Investments filed a complaint seeking judicial dissolution based on Nordale’s misconduct, requesting the right to continue the business and buy out Nordale’s interest pursuant to statute. Before the court ruled, Nordale died. G & S then invoked Article 19 of the partnership agreement, which allowed surviving partners to continue the business and purchase a deceased partner’s interest. The agreement’s buy-out formula calculated the price based on the partner’s “capital account” plus an average of recent profits. At the time of his death, Nordale’s capital account on the partnership books had a negative balance of over $44,000. His estate (appellant) argued that the term “capital account” was ambiguous and that equity demanded a buy-out at fair market value, which was over $76,000, rather than the contractually determined price of zero.
