Actors’ Equity Association (Equity), a union representing stage actors, unilaterally established a licensing system for theatrical agents. To protect its members from agent abuses and to prevent the undermining of its collectively bargained minimum wage structure (“scale”), Equity required its members to deal only with agents who obtained an Equity “franchise.” To become franchised, agents had to agree to Equity’s regulations. The most significant regulations prohibited agents from taking commissions on an actor’s scale wages and required them to pay annual franchise fees to the union. The petitioners, a group of theatrical agents, refused to obtain franchises and filed suit, alleging that Equity’s regulatory system constituted a group boycott and price-fixing in violation of the Sherman Act. The District Court and Court of Appeals found the system was protected by the statutory labor exemption to the antitrust laws. The Supreme Court granted certiorari.
