Orville E. Madsen & Sons, Inc. (Madsen), a general contractor, invited bids from subcontractors for a wastewater treatment facility project. Holman Erection Co. (Holman) submitted a telephonic bid for steel erection work shortly before Madsen’s prime bid was due to the City of Moorhead. As required by the city, Madsen listed Holman as the proposed subcontractor for steel erection in its prime bid. Madsen was subsequently awarded the prime contract. However, Madsen then entered into a subcontract with a different steel erection company, Van Knight Steel Erection, Inc., partly to satisfy Minority Business Enterprise (MBE) requirements and because Van Knight’s bid included additional materials and labor. Holman was never directly informed by Madsen that its bid was accepted, other than discovering its name listed on Madsen’s publicly filed prime bid. Holman sued Madsen for breach of contract, claiming lost profits, arguing that Madsen’s listing of Holman constituted acceptance of its bid. The trial court granted summary judgment for Madsen.
