Annette Phillips, a Hooters employee, signed an “Agreement to arbitrate employment-related disputes” as a condition for eligibility for raises and promotions. The agreement specified that disputes would be resolved pursuant to Hooters’ rules, which were not provided to employees at the time of signing. After Phillips quit and alleged sexual harassment under Title VII, Hooters sought to compel arbitration under its promulgated rules. An investigation of these rules revealed they were egregiously one-sided. The rules required the employee to provide a detailed notice of claim and list of witnesses, with no reciprocal duty for Hooters. Hooters exclusively controlled the list from which all arbitrators must be chosen. Furthermore, Hooters retained the unilateral right to modify or cancel the arbitration agreement at any time without notice, and only Hooters could move for summary dismissal or seek to vacate an award in court. After Phillips refused to arbitrate, Hooters filed suit to compel arbitration. The district court denied the motion, finding the agreement unenforceable.
