Owens Corning (OCD) and its subsidiaries operated as separate legal entities, observing corporate formalities. In 1997, to secure a $2 billion loan it otherwise could not obtain, OCD had certain subsidiaries provide “absolute and unconditional” guarantees to a syndicate of Banks led by Credit Suisse First Boston (CSFB). This “credit enhancement” was a critical component of the deal, providing the Banks with “structural seniority” through direct claims against the guarantors. The loan agreement explicitly required the subsidiaries to maintain their separate corporate forms and records. In 2000, facing asbestos liability, OCD and seventeen subsidiaries filed for Chapter 11 bankruptcy. As part of a proposed reorganization plan, the Debtors sought a “deemed consolidation,” which would treat the assets and liabilities of the debtor entities as pooled for purposes of distribution. This would have the effect of eliminating the Banks’ guarantees, placing them on par with OCD’s other unsecured creditors. However, the plan stipulated that the entities would not actually merge and would continue to exist separately post-bankruptcy. The District Court granted the consolidation motion, finding a “substantial identity” between the entities and concluding the Banks had not relied on the separate credit of the guarantors.
