ProCD, Inc. developed a computer database containing information from over 3,000 telephone directories. It engaged in price discrimination by selling a low-priced consumer version and a high-priced commercial version. The consumer version’s box mentioned that the software was subject to an enclosed license. This “shrinkwrap license,” which was printed in the manual and appeared on the user’s screen upon running the software, restricted use to non-commercial purposes. The license also provided that a buyer who disagreed with the terms could return the software for a full refund. Matthew Zeidenberg purchased a consumer package but chose to ignore the license. He formed a corporation and began reselling the database’s information online at a price lower than ProCD’s commercial rate. ProCD filed suit seeking an injunction, alleging a breach of the license agreement. The district court held that the license was unenforceable because its terms were not presented to the buyer at the time of the transaction.
