During discovery, Defendants Creative Pipe, Inc. et al. were ordered to produce electronically stored information (ESI). Defendants initially sought a court-approved non-waiver (“clawback”) agreement, citing the burden of privilege review, but abandoned this request after receiving a discovery extension, committing instead to a document-by-document review. Their review process was twofold. For text-searchable ESI, their expert ran a keyword search using approximately 70 terms selected by the client and attorneys; documents not flagged by the search were produced without further review or quality control sampling. For non-text-searchable ESI, an attorney and the client conducted a manual review of only the document “page titles” due to time constraints. This process resulted in the inadvertent production of 165 allegedly privileged documents to Plaintiff Victor Stanley, Inc. (VSI). VSI’s counsel discovered the documents, segregated them, and notified Defendants. When Defendants claimed the production was inadvertent, VSI moved to have the court declare the privilege waived.
