In 1951, appellants (lessors) leased a small lot to appellee (lessee) for a 10-year term at a rent of $100 per month. The lease included an option for the lessee to extend the term for an additional 10 years. The renewal option clause stipulated that the new “rental will be fixed in such amount as shall actually be agreed upon by the lessors and the lessee with the monthly rental fixed on the comparative basis of rental values as of the date of the renewal with rental values at this time reflected by the comparative business conditions of the two periods.” The lessee provided timely notice to renew, but the parties were unable to agree on a new rental amount. The lessee filed a declaratory judgment action to have the option declared effective and to have the court determine the rent. The trial court fixed the new rent at $125 per month, and the lessors appealed, arguing the renewal provision was too uncertain to be enforceable.
